1. Acceptance of Terms
By accessing or using https://elyfy.in, purchasing software licenses (Elyfy ERP), or engaging our engineering teams for custom development, you agree to be bound by these Terms of Service.
2. Intellectual Property & Code Ownership
For custom development engagements, all custom intellectual property and source code crafted specifically for the client transfer 100% to the client upon full settlement of contracted milestone invoices. Elyfy Technologies retains all rights to its pre-built core frameworks, Ely Buddy robotics firmware, and proprietary multi-tenant ERP platform modules.
3. Service Level Agreements (SLA) & Uptime
For cloud-hosted products (Elyfy ERP and SaaS solutions), we guarantee a minimum of 99.9% uptime per billing cycle, excluding scheduled maintenance windows announced at least 48 hours in advance.
4. Limitation of Liability
In no event shall Elyfy Technologies be liable for any indirect, incidental, or consequential damages arising from the use or inability to use our platforms beyond the total amount paid by the client in the preceding 3 months.
5. Governing Law & Jurisdiction
These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts located in India.
